PURCHASE AGREEMENT
This Purchase Agreement (“Agreement”) effective April 17th, 2026 (“Effective Date”)
is made and entered into by and between HOHM Inc., a Delaware corporation registered to do business in
California (“Seller”), and NEXTmsp (Taylor Kleinschmidt) an individual/company (“Buyer”),
collectively referred to herein as the “Parties”, with regard to the following facts and circumstances:
WHEREAS Seller sells custom designed & engineered, sleep pods, meeting pods, and outdoor
pods, sold in a pod kit form;
WHEREAS Seller agrees to sell pods to Buyer, and Buyer agrees to purchase the same as of the
Effective Date which shall also be known as the order date.
NOW, THEREFORE, in consideration for the mutual covenants and promises contained herein,
the receipt and adequacy of which is hereby acknowledged, the Parties agree as follows:
1. Agreement to Sell and Purchase. Seller agrees to sell to Buyer, and Buyer agrees to purchase from
Seller, subject to the terms and conditions of this Agreement, those pods (“Pod” or “Pods” or “Pod
Kit”), namely the following quantity and types:
a. Quantity: 2
b. Model: HOHM TALK Std__
c. Serial Number: N/A
d. Size: 20 Sq. Ft.- Standard (2)
e. Features:
i. to be included: white exterior, overhead lighting, overhead ventilation, white acoustic
fabric interior, electrical outlets for laptop, cell phone, etc., 400-1000 lb weight (for 1
pod depending on the pod size)
ii. Service, replacement, and/or general customer service with Pods-related features may
not be available following actual delivery of the Pod as a result of ever-changing
technologies and features.
f. Production. Execution and delivery of this Agreement to Seller will result in production of
your Pod/Pod Kits matching your order and will begin the process of preparing and
coordinating your delivery.
2. Purchase Price. The purchase price for the Pod(s) is/are ___$9,800.00 (product) minus discount
$1,000.00 if sign purchase agreement and pay by 4/20/26 + $1,798.00 (shipping) = $10,598.00
total USD (“Purchase Price”), subject to adjustment costs pursuant to Sections 2(c), payable, as
specified below, in a lump-sum payment described in Section 2(a). This Purchase Price includes
shipping to delivery location, but does not include installation. Installation of each pod should be
done by a handyman team (at least 2 people), or can be done by customer, (but is recommended with
at least 2 people present, having an electric drill present, and some sort of handywork/builder
experience).
a. Lump-Sum Payment. Check here if purchase involves a lump-sum payment [ ]
Buyer agrees to pay to Seller the total Purchase Price plus all Adjusted Costs in one lump-sum
payment upon execution of this Agreement.
b. Changes to Order / Adjusted Costs. It is possible that additional fees and costs apply to your
Pods subject to your specifications, and/or change of specifications including technologies.
Buyer agrees to be responsible for all order changes and their related costs (“Adjusted Costs”).
Buyer further understands and agrees Buyer may be subject to possible cost increases for any
cost adjustments made to the Pods ordered since the original Effective Date.
